Terms and Conditions

1.1 These Terms and Conditions (“Terms”) govern your use of the services provided by YoYo Company (“Company,” “we,” “us,” or “our”), including our mobility as a service (MaaS) platform and any associated applications, APIs, or interfaces (collectively, the “Services”).

1.2 By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1.3 The Services are offered primarily to businesses and organizations (“Users”) and are subject to all applicable laws and regulations in the European Union and France.

“Services”: The suite of mobility management solutions, API integrations, and related functionalities provided by the Company.

“User” or “you”: Any individual or entity accessing or using the Services.

“Account”: A unique user account created to access the Services.

“Agreement”: This Terms and Conditions document and any additional agreements referenced herein.

3.1 The Services are intended for use by businesses and organizations. By using our Services, you confirm that you have the legal capacity and authority to enter into this Agreement.

3.2 If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

4.1 In order to access certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

5.1 Description of Services: We provide a range of MaaS solutions designed to streamline corporate travel and manage mobility needs efficiently.

5.2 Modifications: We reserve the right to modify, suspend, or discontinue any aspect of our Services, including features or content, with or without prior notice. We will use commercially reasonable efforts to inform Users of significant changes.

6.1 Fees: Access to and use of our Services may be subject to fees, which will be specified in separate agreements or pricing schedules.

6.2 Payment Terms: All fees are payable in the currency specified by the Company. Payments must be made in accordance with the agreed payment schedule. Late payments may incur interest charges as permitted by applicable law.

7.1 Ownership: All content, trademarks, logos, and intellectual property rights in the Services are owned by or licensed to the Company. Nothing in these Terms grants you any rights in or to our intellectual property except as expressly set forth herein.

7.2 Restrictions: You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express prior written permission.

8.1 Data Protection: We comply with the General Data Protection Regulation (GDPR) and all applicable French data protection laws. Our Privacy Policy (incorporated herein by reference) explains how we collect, use, and safeguard personal data.

8.2 User Obligations: You agree to use the Services in compliance with all applicable data protection laws and to obtain any necessary consents required for the data you share with us.

9.1 Each party agrees to keep confidential all non-public information disclosed in connection with this Agreement (“Confidential Information”), unless such information is already in the public domain or required to be disclosed by law.

9.2 This confidentiality obligation shall survive the termination of these Terms.

10.1 “As Is” Basis: The Services are provided on an “as is” and “as available” basis without any warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10.2 No Guarantee: We do not guarantee that the Services will be uninterrupted, error-free, or secure, nor do we make any warranty regarding the accuracy or reliability of any information provided.

11.1 To the maximum extent permitted by applicable law, in no event shall YoYo Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services.

11.2 The total liability of the Company, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to the Company in the 12 months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless YoYo Company and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights.

13.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of France and the applicable provisions of European Union law.

13.2 Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be resolved under the exclusive jurisdiction of the courts in France. The parties agree to attempt to resolve any disputes amicably through negotiation or mediation before resorting to legal proceedings.

14.1 We reserve the right to modify or update these Terms at any time. Changes will be effective immediately upon posting on our website or communicated directly to you.

14.2 Your continued use of the Services after any such modifications constitutes your acceptance of the updated Terms.

16.1 Entire Agreement: These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and YoYo Company regarding your use of the Services.

16.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 No Waiver: Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
